Armament Technologies, Inc. (d/b/a Ordnance.com)(“ATI”) and their affiliates provide website features and other products and services to you when you visit or shop Ordnance.com. This site is maintained as a service to our customers. By using this site, you agree to comply with and be bound by the following terms and conditions of use. PLEASE READ THESE TERMS OF USE CAREFULLY BEFORE USING THE SITE. By using the Site, you affirm that you are able and legally competent to agree to and comply with these Terms of Use. If you do not agree to these terms of use or if you are not legally competent to agree to them, then you may not use the Site.

1. Agreement. This Term of Use agreement (the “Agreement”) specifies the Terms and Conditions for access to and use of Ordnance.com (the “Site”) and describe the terms and conditions applicable to your access of and use of the Site. This Agreement may be modified at any time upon posting of the modified Agreement. Any such modifications shall be effective immediately. You should review this Agreement periodically to determine if any changes have been made. The most current version of this Agreement can be reviewed at www.ordnance.com. Each use by you shall constitute and be deemed your unconditional acceptance of this Agreement.

2. Privacy. When using the Site, you shall be subject to any posted policies, guidelines, or rules applicable to the use of the Site and any service provided by the Site, including, but not limited to, our Privacy Policy located at www.ordnance.com. All such policies, guidelines, and rules are hereby incorporated by reference into these Terms of Use.

3. Ownership. All content included on the Site is and shall continue to be the property of Ordnance.com or its content suppliers and is protected under applicable copyright, patent, trademark, and other proprietary rights. Any copying, redistribution, use or publication by you of any such content or any part of the Site is prohibited, except as expressly permitted in this Agreement. Under no circumstances will you acquire any ownership rights or other interest in any content by or through your use of the Site.

4. Intended Audience. YOU MUST BE AT LEAST AGE 18 YEARS OF AGE TO USE THE SITE. By using the Site, you affirm that you are over the age of 18. If you are under the age of 18, you may not access or use the Site.

5. Site Use. Ordnance.com grants you a limited, revocable, nonexclusive license to use the Site solely for your own personal use and not for republication, distribution, assignment, sublicense, sale, preparation of derivative works, or other use. You may not use any service by the Site for any other purpose, including any commercial purpose, without the prior express written permission of an authorized representative of Ordnance.com. You may not modify, copy, distribute, display, send, perform, reproduce, publish, license, create derivative works from, transfer, sell, or otherwise infringe on any intellectual property rights related to any information, content, software, products or services obtained from or otherwise connected to the Site. The use of the Site is at the discretion of Ordnance.com and Ordnance.com may terminate your use of the Site at any time.

6. Acceptable Use Policy. By using the Site, you agree not to: (i) upload, post, email or otherwise transmit any content that is unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, hateful, or racially, ethnically or otherwise objectionable; (ii) use the Site to harm any person or entity; (iii) upload, post, email, or otherwise transmit any unsolicited or unauthorized advertising, promotional materials, junk mail, or any other form of solicitation; (iv) upload, post, e-mail or otherwise transmit any content that contains computer viruses or other computer code, files or programs that interrupt, destroy or limit the functionality of the Site or any other computer software or hardware or telecommunications equipment; (v) intentionally or unintentionally violate any applicable local, state, national or international laws, rules or regulations, including but not limited to those promulgated by the U.S. Federal Trade Commission, U.S. Securities and Exchange Commission; (vi) collect, store or use personal information about other users of the Site without their consent; or (vii) use any of the Site in any manner that could overburden or impair any of the Site or the networks or systems connected to the Site.

You also agree that you will not violate or attempt to violate the security of the Site. Violations of system or network security may result in civil or criminal liability. We reserve the right to investigate occurrences, which may involve such violations and may involve and cooperate with, law enforcement authorities in prosecuting users who have participated in such violations.

7. Compliance with Laws. You must abide by all Federal, State, and local laws regarding your use of the Site. You further agree that the information provided by you is truthful and accurate to the best of your knowledge.

You agree that in submitting a purchase order you will comply with all applicable laws and regulations of the United States and each individual State and/or locality in which the items are received and/or possessed. You agree that you will not export the goods unless you receive proper permits or licenses from the United States Government. You understand that goods sold may include technology and software and that the goods, technology, or software may be subject to United States export laws as well as laws of any country to which they may be exported and that the goods may not be sold, leased, or transferred to restricted countries, restricted end users, or for restricted end uses.

8. Product Orders. The receipt of an order number or an email order confirmation does not constitute the acceptance of an order or a confirmation of an offer to sell. We reserve the right, without prior notification, to limit the order quantity on any item and/or refuse service to any customer. Verification of information may be required prior to the acceptance of an order. Prices and availability of products on the Site are subject to change without notice. Errors will be corrected when discovered and Ordnance.com reserves the right to revoke any stated offer and to correct any error, inaccuracy, or omission (including after an order has been submitted).

9. Indemnification. You agree to indemnify, defend, and hold Ordnance.com and our affiliates, licensors, content providers, service providers, partners, agents, officers, directors, contractors, and employees (the “Indemnified Parties”), harmless from any breach of this Agreement by you. You agree that the Indemnified Parties will have no liability in connection with any such breach or unauthorized use, and you agree to indemnify any and all resulting loss, damages, judgments, awards, costs, expenses, and attorney’s fees of the Indemnified Parties in connection therewith. You will also indemnify and hold the Indemnified Parties harmless from and against any claims brought by third parties arising out of your use of any content, information, services, or products accessed from the Site.

YOU AGREE TO INDEMNIFY, DEFEND, AND HOLD HARMLESS THE INDEMNIFIED PARTIES FROM ANY CLAIM BY ANY THIRD PARTY RELATED TO THE PURCHASE OF ANY REGULATED GOODS OR OTHER GOODS.

10. Disclaimer. YOUR USE OF THE SITE IS AT YOUR OWN RISK. ANY SERVICE AND/OR INFORMATION PROVIDED BY THE SITE IS PROVIDED “AS IS” AND WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESSED OR IMPLIED. ORDNANCE.COM DISCLAIMS ALL WARRANTIES, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. ORDNANCE.COM DOES NOT WARRANT THAT ANY FUNCTION OR CONTENT CONTAINED ON THE SITE OR ANY SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THIS SITE OR THE SERVER THAT MAKES IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. ORDNANCE.COM DOES NOT WARRANT OR MAKE ANY REPRESENTATION REGARDING USE, OR THE RESULT OF USE, OF ANY SERVICE OR CONTENT IN TERMS OF ACCURACY, RELIABILITY, OR OTHERWISE. THE USER ACKNOWLEDGES THAT THE CONTENT MAY INCLUDE TECHNICAL INACCURACIES OR TYPOGRAPHICAL ERRORS, AND ORDNANCE.COM MAY MAKE CHANGES OR IMPROVEMENTS TO THE WEBSITE AT ANY TIME. YOU ASSUME THE ENTIRE COST OF ALL NECESSARY SERVICING, REPAIR OR CORRECTION IN THE EVENT OF ANY LOSS OR DAMAGE ARISING FROM THE USE OF THE SITE, ANY SERVICE, OR ITS CONTENT. ORDNANCE.COM MAKES NO WARRANTIES THAT YOUR USE OF THE CONTENT WILL NOT INFRINGE THE RIGHTS OF OTHERS AND ASSUMES NO LIABILITY OR RESPONSIBILITY FOR ERRORS OR OMISSIONS IN ANY CONTENT ON THE SITE.

11. Limitation of Liability. UNDER NO CIRCUMSTANCES WILL ORDNANCE.COM OR ITS AFFILIATES, LICENSORS, SERVICE PROVIDERS, CONTENT PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, DIRECTORS, PARTNERS AND/OR CONTRACTORS BE LIABLE OR RESPONSIBLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL (INCLUDING DAMAGES FROM LOSS OF BUSINESS, LOST PROFITS, LITIGATION, OR THE LIKE), SPECIAL, EXEMPLARY, PUNITIVE, OR OTHER DAMAGES, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN ANY WAY RELATING TO THE SITE, YOUR SITE USE, OR THE CONTENT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. YOUR SOLE REMEDY FOR DISSATISFACTION WITH THE SITE AND/OR CONTENT IS TO CEASE ALL OF YOUR SITE USE.

ATI DOES NOT ACCEPT ANY LIABILITY BEYOND THE REMEDIES SET FORTH HEREIN. EXCEPT AS EXPRESSLY PROVIDED HEREIN, ATI WILL NOT BE LIABLE FOR ANY CONSEQUENTIAL, SPECIAL, INDIRECT, OR PUNITIVE DAMAGES EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES OR FOR ANY CLAIM BY ANY THIRD PARTY RELATED TO THE PURCHASE OF ANY REGULATED GOODS OR OTHER GOODS. FOR ANY LIABILITY RELATED TO THE PURCHASE OR USE OF THE PRODUCT YOU AGREE THAT ATI IS NOT LIABLE OR RESPONSIBLE FOR ANY DAMAGES IN EXCESS OF THE AMOUNT PAID FOR THE PRODUCT (EXCLUSIVE OF SHIPPING, TAXES, AND OTHER FEES). SOME JURISDICTIONS MAY NOT ENFORCE ALL OF THESE LIMITATIONS AND ONLY THE LIMITATIONS THAT ARE LAWFUL IN YOUR JURISDICATION SHALL APPLY.

12. Use of Information. Ordnance.com reserves the right, and you authorize us, to use and assign all information regarding your use of the Site and all information provided by you in any manner consistent with our Privacy Policy.

13. Payments. When checking out with a credit/debit card, you are authorizing Ordnance.com to charge the credit card indicated in your order. The payment authorization is for the goods/services described in the order, for the amount indicated only, and is valid for one-time use only. You certify that you are an authorized user of the credit card and that you will not dispute the payment with your credit card company so long as the transaction corresponds to the terms indicated above. ALL SALES ARE FINAL AND ORDNANCE.COM DOES NOT ACCEPT RETURNS.

14. Copyrights and Copyright Agent. If you believe your work has been copied in a way that constitutes copyright infringement, or your intellectual property rights have otherwise been violated, please provide a notice containing all of the following information to our Copyright Agent:

(a) An electronic or physical signature of the person authorized to act on behalf of the owner of the copyright or other intellectual property interest;

(b) A description of the copyrighted work that you claim has been infringed;

(d) Your address, telephone number, and e-mail address;

(e) A statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law; and

(f) A statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf.

15. Applicable Law. You agree that the laws of the State of Tennessee, without regard to conflicts of laws provisions will govern these Terms and Conditions of Use and any dispute that may arise between you and ordnance.com or its affiliates. You agree to personal and exclusive jurisdiction by and venue in the state and federal courts of Henry County, Tennessee.

YOU AGREE THAT REGARDLESS OF ANY STATUTE OR LAW TO THE CONTRARY, ANY CLAIM OR CAUSE OF ACTION ARISING OUT OF OR RELATED TO THE SITE, ANY SERVICE PROVIDED BY THE SITE, OR THE TERMS OF USE MUST BE FILED WITHIN ONE (1) YEAR AFTER SUCH CLAIM OR CAUSE OF ACTION AROSE OR BE FOREVER BARRED.

16. Severability. If any provision of this Agreement shall be adjudged by any court of competent jurisdiction to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent so that this Agreement will otherwise remain in full force and effect.

17. Waiver. The failure of ordnance.com to exercise or enforce any right or provision of this Agreement shall not operate as a waiver of such right or provision. Any waiver of this Agreement by Ordnance.com must be in writing and signed by an authorized representative of Ordnance.com

18. Termination. Ordnance.com may terminate this Agreement at any time, with or without notice, for any reason.

19. Relationship of the Parties. Nothing contained in this Agreement, or your use of the Site shall be construed to constitute either party as a partner, joint venture, employee or agent of the other party, nor shall either party hold itself out as such. Neither party has any right or authority to incur, assume, or create, in writing or otherwise, any warranty, liability, or other obligation of any kind, express or implied, in the name of or on behalf of the other party, it being intended by both parties that each shall remain independent contractors responsible for its own actions.

20. Entire Agreement. This Terms of Use constitutes the entire agreement between you and Ordnance.com and governs the terms and conditions of your use of the Site, and supersedes all prior or contemporaneous communications and proposals, whether electronic, oral or written, between you and Ordnance.com with respect to the Site. Notwithstanding the foregoing, you may also be subject to additional terms and conditions, posted policies (including but not limited to the Privacy Policy), guidelines, or rules that may apply when you use the website. Ordnance.com may revise this Terms of Use at any time by updating this Agreement and posting it on the Site. Accordingly, you should visit the Site and review the Terms of Use periodically to determine if any changes have been made. Your continued use of the Site after any changes have been made to the Terms of Use signifies and confirms your acceptance of any such changes or amendments to the Terms of Use.
